Terms of Service

1. Acceptance of Terms

By accessing or using deb8tly ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.

2. Service Operator

deb8tly is a service operated by Äctvli Responsible Consulting Oy ("ÄRC"), a company registered in Finland. All references to "deb8tly", "we", "us", or "our" in these terms refer to Äctvli Responsible Consulting Oy as the operator of the Platform.

3. Description of Service

deb8tly is a debate platform that allows users to nominate debates, vote on nominations, and participate in scheduled debates. The Platform provides tools for organizing and facilitating intellectual discourse.

4. User Accounts

• You must provide accurate information when creating an account
• You are responsible for maintaining the security of your account
• You must be at least 16 years old to use the Platform
• One account per person is permitted

5. User Conduct

You agree not to:

• Use the Platform for any illegal purpose
• Harass, abuse, or threaten other users
• Post content that is defamatory, obscene, or hateful
• Impersonate any person or entity
• Manipulate voting through fake accounts or automated means
• Interfere with the proper functioning of the Platform
• Attempt to gain unauthorized access to the Platform or user accounts

6. Debates and Content

• You retain ownership of content you create
• By posting content, you grant us a license to display it on the Platform
• We reserve the right to remove content that violates these terms
• Debate topics should be suitable for public discourse
• Personal attacks during debates are prohibited

7. Voting and Credits

• Each user receives one free vote per nomination
• Additional votes can be purchased as credit packs
• Purchased credits are non-refundable
• Vote manipulation is strictly prohibited
• We reserve the right to invalidate fraudulent votes

8. Payments

Payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service. All prices are displayed in the applicable currency and include any applicable taxes.

Debater Compensation

All debater compensation — including base fees, acceptance bonuses, performance bonuses, and revenue share — is paid after the debate is completed. No payments are disbursed to debaters before the debate takes place. Base fees and acceptance bonuses are paid within 7 days of debate completion. Performance bonuses are paid monthly, and revenue share is paid quarterly.

9. Debate Commitment

Declining a debate nomination carries no penalty. However, by accepting a debate nomination, you agree to a binding commitment to participate. If you withdraw after acceptance or fail to appear on the scheduled date:

• All earned bonuses and pending payments for the debate are forfeited
• A withdrawal or no-show record is placed on your public profile
• You may be barred from accepting new debates for up to 90 days
• If crowdfunding has been completed, your opponent may receive partial or full compensation
• Backer pledges are refunded if the debate cannot be rescheduled

10. Intellectual Property

The Platform, including its design, features, and content (excluding user-generated content), is owned by Äctvli Responsible Consulting Oy and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.

11. Termination

We may suspend or terminate your account at any time for violation of these terms or for any other reason at our discretion. You may delete your account at any time through your account settings.

12. Disclaimers

The Platform is provided "as is" without warranties of any kind. We do not guarantee that the Platform will be uninterrupted, secure, or error-free. We are not responsible for the content or opinions expressed by users.

13. Limitation of Liability

To the maximum extent permitted by law, Äctvli Responsible Consulting Oy and deb8tly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

14. Indemnification

You agree to indemnify and hold harmless Äctvli Responsible Consulting Oy and deb8tly from any claims, damages, or expenses arising from your use of the Platform or violation of these terms.

15. Governing Law

These terms shall be governed by and construed in accordance with the laws of Finland. Any disputes arising from or relating to these terms shall be resolved in the courts of Finland.

16. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes. Continued use of the Platform after changes constitutes acceptance of the new terms.
